  • The difference between structuring the deal as a stock purchase (vs) an asset purchase transaction
  • The advantages/disadvantages to the Seller and Buyer in both deal structures
  • Protection for the Buyer against the Seller's medical practice liabilities
  • Protection for the Seller to get paid the full purchase price
  • Transferring IPA and managed care contracts
